M&A Paralegal (Debt Finance) – Remote option available!

SUMMARY: The Boston office seeks a paralegal focused on Debt Finance and M&A to support the Transactional Corporate practice group. Experience advising clients on corporate debt finance and exposure to corporate transactions is a must. This person will be able to work from any of the firm’s offices and will join an elite firm noted for its exceptional culture with a history of career growth, stability and security.

KEY RESPONSIBILITIES:
- Work on cases representing creditors and debtors in complex deals
- Draft and review UCC financing statements
- Review and order lien searches, results and prepare lien summaries
- Draft and review UCC-1 and UCC-3 financing statements
- Order documents from vendor in a timely manner i.e. good standing certificates, lien searches, charters
- Monitor good status standing and communicate changes to attorneys
- Obtain bylaws/operating agreements and good standing certificates from DMS
- Draft legal opinions and resolutions on behalf of firm
- Distribute resolutions, secretary’s certificates and officer’s or closing certificates to counsel for review
- Obtain original copies of securities (stock/unit certificates, notes, etc) and manage stock certificates, updating the ledger
- Draft stock and unit powers/endorsements
- Obtain and manage director/officer lists for loan parties
- Prepare signature page packets for execution
- Review closing checklist and ensuring all conditions are met
- Determine loan parties and review and save closing documents after execution
- Prepare closing deliverables including borrowing notice, secretary’s, closing, perfection and solvency certificates
- Draft and file certificates of incorporation and formation in various jurisdictions
- Draft written board consents and written stockholder consents as well as organizational and transactional closing materials
- Prepare resolutions/legal opinions to be presented at shareholder meetings
- Gather documents: initial stock subscription agreements, stock certificates, and stock ledger
- File and complete forms SS-4 and obtain EINs
- Gather and update stock ledgers
- Perform research to assist attorneys with determination of jurisdiction qualifications
- File qualification and withdrawal applications
- File and prepare statutory filings such as amendments, conversions, mergers, and dissolutions
- Determine Delaware franchise tax as well as calculations for other jurisdictions
- Liaise with corporate providers in regards to statutory agent services
REQUIRED SKILLS:
- 5+ years corporate paralegal experience in an AMlaw firm
- Bachelor’s degree preferred
- Debt finance and M&A experience is required
- Experience with one of the following: private equity, asset securitization, fund formation, investment management or venture capital
- Proficiency in MS Word, Excel, and Outlook
- Knowledge of Standard Office Methods and Equipment
- Ability to Maintain Strict Confidentiality
- Solid Interpersonal Skills
