POSITION: Finance Paralegal (Corporate Paralegal) – Remote to start 

LOCATION: New York, NY and Boston, MA

THE ORGANIZATION: Large U.S. Based Multinational Law Firm is looking for an experienced corporate paralegal for a fast-paced corporate team. Salary is highly competitive in the industry and based on experience.

SUMMARY: Seeking a qualified paralegal with experience advising clients on corporate debt finance. A successful candidate will have debt and transactional experience.

KEY RESPONSIBILITIES:

  • Work on cases representing creditors and debtors in complex bankruptcy / restructuring cases

  • Draft and review UCC financing statements

  • Review lien search results and draft lien summary

  • Order documents from vendor in a timely manner i.e. good standing certificates, lien searches, charters

  • Monitor good status standing and communicate changes to attorneys

  • Maintain storage of bylaws/operating agreements as needed.

  • Draft legal opinions on behalf of firm

  • Distribute resolutions, secretary’s certificates and officer’s or closing certificates to counsel

  • Obtain and manage stock certificates

  • Obtain and manage director/officer lists for loan parties

  • Prepare signature page packets for execution

  • Review closing checklist and ensuring all conditions are met

  • Review and save closing documents after execution

  • Prepare electronic copies of closing sets.

REQUIRED SKILLS:

  • 5+ years corporate paralegal experience

  • Bachelor’s degree preferred

  • Debt finance experience required

  • Experience with one of the following preferred: M&A, Private Equity, Venture Capital, capital markets, investment funds, 

  • Experience with Concordance, Relativity, PACER, Summation, Westlaw, Lexis and Blue Book 

  • Proficiency in MS Word, Excel, and Outlook

  • Leadership skills and dedication to improving systems and processes

  • Excellent Proofreading Skills

  • Knowledge of Standard Office Methods and Equipment

  • Ability to Maintain Strict Confidentiality

  • Ability to Manage Time and Tasks Effectively

  • Solid Interpersonal Skills
