Contracts Paralegal (Remote – Hybrid)

SUMMARY: Seeking an honest, confident and detailed individual who is ready to provide support for the firm’s Life Sciences Transactions group. This role will be responsible for assisting in drafting contracts and agreements for a range of life sciences clients.

KEY RESPONSIBILITIES:

  • Review, edit, and draft contracts/agreements for clients
  • Prepare correspondence and contract documentation 
  • Prepare written summaries and diligence findings
  • Create and update the firm’s document databases
  • Communicate key results to team and project leaders
  • Organize and participate in attorney meetings as necessary
  • Assist M&A transactions for sell-side and buy-side deals
  • Interact internally with the project team to inform understanding of specific risks
  • Report to and support the Contracts Manager, including providing status updates of various legal documents

REQUIREMENTS:

  • Bachelor’s Degree and/or certificate from an ABA approved paralegal program
  • 1+ years experience reviewing, negotiating, and drafting contracts in life sciences
  • Experience with contracts for research services, clinical trial support, drug substance (API) and drug product (fill & finish) manufacturing and supply, commercial distribution arrangements preferred
  • Advanced level knowledge using Microsoft Office, Microsoft SharePoint, iManage or other document management software, as well as performing document comparisons and searching through SEC (EDGAR) filings, Practical Law and other online resources
  • Excellent written, oral, analytical and interpersonal skills
  • Able to work under pressure and in a fast-paced environment
